Benyapa focuses on corporate and commercial law and has extensive experience advising businesses across a wide range of industries. Her experience encompasses mergers and acquisitions (M&A), joint ventures, corporate governance, and a wide range of agreement and contractual transactions.

 

Benyapa is particularly focused on guiding foreign investors seeking to establish or expand operations in Thailand. She advises on foreign direct investment (FDI) regulations and alternative options, including promoted activities under the Board of Investment (BOI) and industrial estate solutions. Her practice also extends to labour laws, general transactional matters related to public companies, and various aspects of securities regulations.

 

Benyapa holds a Bachelor of Laws (LL.B.) degree with honours from Chulalongkorn University.

Work Highlights

 

  • Assisted in conducting legal due diligence and land searches for a company to establish EV showrooms across 40 branches in Thailand.
  • Assisted a listed company in the acquisition of business and assets of a target company operating in communication devices and technology products valued at approximately US$30,000,000 and provided comprehensive advice, including implement anti-trust related laws in Thailand.
  • Assisted a foreign-owned company in operating a hotel and acquiring land under the Board of Investment (BOI) promoted activity in Thailand for approximately US$15,000,000, with funding sourced from an overseas private fund.
  • Assisted in drafting and negotiating a Joint Venture Agreement to form a new company engaged in manufacturing parts used for computer and mobile devices for global distribution in an investment amount approximately US$100,000,000.
  • Provided legal advice to a commercial bank, originally based overseas, in applying for a derivative dealer license with the SEC.
